1. Acceptance of Terms

These Terms of Use (the "Terms") govern your access to and use of the Conspectus publication, including the website at getconspectus.com and any associated services (collectively, the "Service"). The Service is operated by 15865468 Canada Inc., a corporation incorporated under the laws of Canada with its registered office in Ontario, Canada ("Conspectus," "we," "us," or "our"), under the trade name "Conspectus Intelligence."

By accessing, registering for, or using the Service, you ("you" or "Reader") agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

These Terms constitute a binding legal agreement between you and Conspectus. Please read them carefully.

2. Definitions

In these Terms:

"Conspectus Content" means all topic syntheses, sentiment classifications, citations, reference frames, editorial commentary, methodology descriptions, and other content published or made available through the Service.

"Editor-in-Chief" means the natural person designated by Conspectus as having editorial responsibility for the publication, currently Sebastian Dumitrescu-Georgescu.

"Reader" means any natural person who accesses the Service, whether or not registered as an account holder.

"Account" means a registered user account maintained on the Service.

"Source" means any external article, publication, report, or other content from a named third party from which Conspectus draws coverage in preparing Conspectus Content.

3. Nature of the Service

Conspectus Intelligence is a financial publication of general and regular circulation, distributed through getconspectus.com. Conspectus publishes editorial coverage of how financial topics are framed across the institutional landscape — drawing from central banks, asset managers, research institutions, named analysts, and the editorial financial press.

Conspectus is intended to operate as a financial publication under the publisher exemption framework set out at Investment Advisers Act of 1940 §202(a)(11)(D) (United States) and the equivalent publisher carve-out under National Instrument 31-103 (Canada). Conspectus is not a registered investment adviser, broker-dealer, portfolio manager, or fiduciary in any jurisdiction.

4. No Investment Advice

The Conspectus Content — including topic syntheses, sentiment classifications (bullish, neutral, bearish), evidence citations, reference frames, and any commentary — is for informational and educational purposes only. Nothing published by Conspectus constitutes:

(a) investment advice or a recommendation to buy, sell, or hold any security or financial instrument;

(b) an offer or solicitation to buy or sell any security or financial instrument;

(c) personalized financial, investment, legal, tax, or accounting advice; or

(d) an opinion on the suitability of any security, strategy, or transaction for any particular person or situation.

Conspectus does not know the financial circumstances, investment objectives, risk tolerance, or specific situation of any Reader, and the Conspectus Content is not tailored to any individual. Readers should consult licensed financial, legal, tax, and other professional advisors before making any investment, financial, or related decision based on or informed by Conspectus Content.

5. Editorial Process and Accountability

Conspectus is an editorial publication. Editorial responsibility for all Conspectus Content rests with Sebastian Dumitrescu-Georgescu, Founder and Editor-in-Chief of Conspectus. Editorial decisions — including source curation, topic approval, synthesis review, and decisions to publish, withhold, retract, or revise content — are made or directly supervised by the Editor-in-Chief in accordance with Conspectus's documented editorial process (see the Methodology page at getconspectus.com/methodology). The Editor-in-Chief maintains and updates the documented editorial process, the curated source list, and the internal editorial review log.

6. AI-Assisted Content Generation

Conspectus Content is produced through an AI-assisted editorial process. Source articles are ingested from a curated, version-controlled list of named financial sources and classified using artificial intelligence systems (currently including models provided by Anthropic). Topic syntheses — including position breakdowns and supporting citations — are drafted through an AI-assisted multi-stage synthesis process. Every topic is reviewed by the Editor-in-Chief or a designee prior to publication. Citations in every topic are intended to be traceable to specific Source articles in the curated source list.

Readers should understand that AI-assisted content, even when reviewed by a human editor, may contain errors, omissions, mischaracterizations, or framing that does not perfectly capture every Source. Conspectus does not warrant that any topic, synthesis, or sentiment classification is free of error. Readers are advised to consult primary sources via the citation links provided in each topic before relying on any synthesis for any decision.

7. Impersonal by Design

Conspectus publishes the same Conspectus Content to every Reader. Topic syntheses, sentiment classifications, citations, and reference frames are not personalized, tailored, or customized to any individual Reader's circumstances, identity, portfolio, role, employer, or stated interests. Features that allow a Reader to bookmark, track, dismiss, or organize topics provide navigational personalization only — they affect the Reader's view of which topics they have marked, not the substance of any Conspectus Content. Conspectus does not provide personalized recommendations, individualized investment guidance, or tailored advisory services.

8. Eligibility

The Service is intended for use by persons who: (a) are at least the age of majority in their jurisdiction of residence; (b) have the legal capacity to enter into binding contracts; and (c) are not prohibited from using the Service under applicable law. By using the Service, you represent and warrant that you meet these eligibility requirements.

9. Account Registration and Security

To access certain features of the Service, you may be required to register for an Account. You agree to: (a) provide accurate, current, and complete information during registration; (b) maintain and promptly update Account information; (c) maintain the security and confidentiality of your Account credentials; and (d) accept responsibility for all activities that occur under your Account.

You agree to notify Conspectus promptly if you discover any unauthorized use of your Account or other security breach. Conspectus is not liable for any loss or damage arising from your failure to comply with this Section.

During the beta phase of the Service, Account access is by invitation only. Invitations are non-transferable. You may not share, transfer, or assign your Account or any invitation received to any other person.

10. Acceptable Use

You agree not to:

(a) use the Service for any unlawful purpose or in violation of applicable law;

(b) attempt to gain unauthorized access to any portion of the Service, other Accounts, or any systems or networks connected to the Service;

(c) interfere with, disrupt, or impose an unreasonable burden on the Service or the networks or services connected to the Service;

(d) use any automated system (including any robot, spider, scraper, or similar tool) to access, monitor, or copy any portion of the Service or Conspectus Content, except for publicly available content accessed through search engine crawlers in accordance with the Service's robots.txt file;

(e) reproduce, redistribute, sell, license, or otherwise commercially exploit Conspectus Content except as expressly permitted by these Terms or by Conspectus in writing;

(f) reverse engineer, decompile, or attempt to derive the source code of any portion of the Service;

(g) use Conspectus Content to train, fine-tune, or otherwise develop any artificial intelligence model, machine learning system, or similar technology, without the prior written consent of Conspectus;

(h) frame, mirror, or otherwise present Conspectus Content as your own or in a manner that misrepresents the source of the content;

(i) impersonate any person or entity, or misrepresent your affiliation with any person or entity, in connection with the Service.

11. Intellectual Property

The Service and the Conspectus Content (excluding User Content, defined below) are owned by Conspectus or its licensors and are protected by copyright, trademark, and other intellectual property laws. Conspectus grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and Conspectus Content for your personal, non-commercial use, subject to these Terms.

Source articles, third-party logos, names, and trademarks referenced in Conspectus Content remain the property of their respective owners and are used by Conspectus for editorial commentary and identification purposes under applicable fair use, fair dealing, and similar doctrines.

The "Conspectus" name and any associated logos are trademarks of Conspectus. The "Conspectus Intelligence" trade name is unregistered as of the effective date and you may not use it in any manner that suggests endorsement or affiliation absent express written permission.

12. User Content

To the extent the Service permits you to submit any content (including bookmarks, tracked topics, dismissed topics, profile information, or feedback) ("User Content"), you retain ownership of your User Content. You grant Conspectus a worldwide, non-exclusive, royalty-free license to use, store, and process your User Content solely for the purpose of operating the Service for you and analyzing aggregate, de-identified usage patterns.

You represent and warrant that you have all rights necessary to submit any User Content and that your User Content does not violate any applicable law or third-party right.

The Service relies on third-party service providers (including hosting, authentication, email delivery, error monitoring, analytics, and artificial intelligence providers). Conspectus Content may include citations, links, or references to third-party websites or content. Conspectus does not control and is not responsible for any third-party services, websites, or content, and inclusion of any link or reference does not constitute endorsement.

Your interactions with third-party services accessed through the Service are governed by the terms and privacy practices of those third parties.

14. Privacy

Your privacy is important to Conspectus. Conspectus's collection, use, and disclosure of personal information are governed by the Privacy Policy at getconspectus.com/privacy, which is incorporated into these Terms by reference.

15. Limitation of Liability

To the maximum extent permitted by applicable law:

(a) Conspectus Content is published "as is" and "as available." Conspectus makes no warranty, express or implied, regarding the accuracy, completeness, timeliness, currency, fitness for any purpose, or suitability of any topic, synthesis, sentiment classification, citation, reference frame, or other Conspectus Content.

(b) Conspectus is not liable for any decision, action, transaction, or omission undertaken by any Reader on the basis of, in reliance on, or informed by any Conspectus Content. This includes, without limitation, any investment, trading, financial, business, or personal decision.

(c) Conspectus is not liable for any loss, damage, or cost — including without limitation lost profits, lost capital, lost investment opportunities, lost time, or any indirect, incidental, consequential, special, exemplary, or punitive damages — arising from access to, use of, reliance on, or inability to access the Service or Conspectus Content.

(d) Nothing in this Section is intended to exclude or limit liability for gross negligence, fraud, willful misconduct, or any other liability that may not be excluded or limited under the applicable law of the Province of Ontario.

(e) The aggregate liability of Conspectus to any Reader, in respect of all claims arising from access to or use of the Service, shall not exceed the amount paid by such Reader to Conspectus in the twelve months preceding the event giving rise to the claim, or CAD $100, whichever is greater.

16. Indemnification

You agree to indemnify, defend, and hold harmless Conspectus, its directors, officers, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or related to:

(a) your access to or use of the Service in violation of these Terms;

(b) your User Content;

(c) your violation of any applicable law or any right of any third party; or

(d) any decision, action, or transaction you undertake on the basis of or informed by Conspectus Content.

Conspectus reserves the right to assume the exclusive defense and control of any matter otherwise subject to your indemnification, and you agree to cooperate with Conspectus's defense of such claims.

17. Disclaimer of Warranties

THE SERVICE AND CONSPECTUS CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. CONSPECTUS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

CONSPECTUS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS, OR THAT ANY CONSPECTUS CONTENT WILL BE ACCURATE, COMPLETE, OR CURRENT.

18. Term and Termination

These Terms remain in effect for as long as you access or use the Service.

Conspectus may suspend or terminate your Account or access to the Service at any time, with or without notice, for any reason, including without limitation if Conspectus believes that you have violated these Terms or that your use of the Service poses risk to Conspectus or to other Readers.

You may terminate your Account at any time by contacting Conspectus at the address in Section 28.

Upon termination, your right to access the Service ceases. Sections 4, 11, 14, 15, 16, 17, 20, 21, 24, and 26 survive termination.

19. Modifications to These Terms

Conspectus may modify these Terms from time to time. Material modifications will be communicated by notice to your registered email address or by a prominent notice on the Service. Continued use of the Service after such notice constitutes acceptance of the modified Terms, except where applicable law requires affirmative re-acceptance.

If a modification materially affects your rights or obligations under these Terms, Conspectus may require affirmative re-acceptance by means of a lockout-and-re-acceptance flow. Failure to re-accept may result in termination of your Account.

20. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable in Ontario, without reference to its conflict of laws principles.

21. Dispute Resolution and Jurisdiction

Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the courts of the Province of Ontario sitting in the City of Toronto, and you and Conspectus consent to the exclusive jurisdiction and venue of such courts.

Nothing in this Section limits your rights as a consumer under applicable consumer protection law that may grant you rights to bring proceedings in another jurisdiction.

22. Force Majeure

Conspectus is not liable for any failure or delay in the performance of its obligations under these Terms to the extent such failure or delay is caused by events beyond Conspectus's reasonable control, including without limitation acts of God, natural disasters, war, terrorism, civil unrest, pandemic, governmental action, network or infrastructure failures, or failures of third-party service providers.

23. Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without Conspectus's prior written consent. Any attempted assignment in violation of this Section is void. Conspectus may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets.

24. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions remain in full force and effect, and the invalid provision will be deemed modified to the minimum extent necessary to make it valid and enforceable while preserving the intent of the parties.

25. Waiver

No failure or delay by Conspectus in exercising any right or remedy under these Terms operates as a waiver. No single or partial exercise of any right or remedy precludes any other or further exercise.

26. Entire Agreement

These Terms (together with the Privacy Policy, Cookie Policy, and Disclaimer, each incorporated by reference) constitute the entire agreement between you and Conspectus regarding the Service and supersede all prior agreements and understandings.

27. Notices

Conspectus may provide notices under these Terms by email to your registered email address or by posting on the Service. You may provide notices to Conspectus at the address in Section 28.
